1. Who we are and what these terms cover

VyapaarVaani is an online platform that helps Indian MSMEs, startups and small business owners get funding-ready and stay compliant. We do this with free business tools, AI-generated documents (pitch decks, financial reports, business plans and legal documents), government registration and filing support, recurring compliance services, and one-to-one help from experts.

These Terms are the agreement between you and VyapaarVaani (“VyapaarVaani”, “we”, “us”, “our”) for using our website, apps and services. “You” means anyone who visits the site, creates an account, or buys a service. Please read them together with our Privacy Policy and Refund Policy, which are part of this agreement.

If anything here is unclear, write to us at [email protected] before you use a paid service — we would rather answer a question than sort out a misunderstanding later.

2. Accepting these terms

By creating an account or buying a service, you confirm that you have read these Terms and agree to them. If you are using VyapaarVaani for a company or firm, you confirm that you are allowed to accept these Terms on its behalf.

You must be at least 18 years old and legally able to enter into a contract in India. If you do not agree with these Terms, please do not use the paid services.

3. Your account

Most tools work without an account, but you need one to generate documents, buy services and see your order history. When you register, give accurate details and keep your password safe — you are responsible for what happens under your account.

Tell us promptly if you think someone else has accessed your account. We may suspend an account if we see activity that looks fraudulent or unsafe, and we will explain why where we reasonably can.

4. What’s free and what you pay for

A large part of VyapaarVaani is free: the business calculators, eligibility checkers, lookups (IFSC, PIN, GSTIN, HSN and more), the scheme matcher and readiness score, the Cyber Desk scam checker, and the Ask Vaani assistant. You can also generate a document and see a free, watermarked preview before deciding to pay.

You pay only when you want the finished result or hands-on help — for example a clean, watermark-free document, an editable file, a report our team prepares, a government registration we file for you, a compliance subscription, or an expert consultation. The price of each paid service is shown before you check out.

5. The services we provide

5.1 Documents and pitch decks

Our software generates pitch decks, financial projections, CMA reports, project reports (DPRs), business plans and a library of legal and business documents. Free users get a watermarked preview; paying unlocks the clean copy, and Pro unlocks extras such as editable PowerPoint export and higher daily limits. These documents are drafted from the information you provide and are meant as strong, ready-to-use drafts — not a replacement for advice from your own lawyer, chartered accountant or banker.

5.2 Registrations and filings

For services such as Udyam, GST, DPIIT, trademark, FSSAI, IEC, ISO and company incorporation, we prepare your application, guide you through it and file it with the relevant authority, and we keep you updated. We do our job with care, but the final decision — approval, rejection, timelines and any queries — rests entirely with the government department concerned. We cannot and do not guarantee that a registration, licence or certificate will be issued.

Government and statutory fees (for example DGFT, stamp duty, trademark or audit fees) are separate from our service fee. We will tell you when a government fee applies; those fees are paid to the authority and are not ours to refund.

5.3 Compliance subscriptions

Compliance plans (GST, TDS, payroll, ITR, ROC and the combined Compliance Pro) are recurring services billed per period. You give us your data and documents on time; we prepare and file the relevant returns for that period. Filing on time also depends on you sharing complete information before the due date.

5.4 Expert consultations and assisted services

You can book a call with a VyapaarVaani expert or a done-for-you package where we prepare a complete application file for you. These are advisory and preparation services; the outcome of any application, loan or scheme still depends on the authority or lender and on the accuracy of the information you give us.

5.5 Ask Vaani and AI features

Ask Vaani and other AI features give general information and drafts to help you move faster. AI can occasionally be wrong or out of date, so please check anything important before you rely on it — especially numbers, legal wording, tax positions and scheme eligibility.

6. Prices, payment and taxes

Prices are shown in Indian Rupees on the relevant page and may change from time to time; the price you see at checkout is the price that applies to that order. Applicable taxes are added where required.

Payments are processed by our payment partners (such as Razorpay and Paytm). Your card, UPI and banking details are handled by them under their own security standards — we do not store your full card or banking credentials. An order is confirmed once we receive successful payment; if a payment fails or is reversed, the related service may be held or withdrawn.

7. Giving us the right information

Our documents, filings and reports are only as accurate as the details you provide. You are responsible for making sure the information, figures and documents you share are true, complete and yours to use. If something is wrong or missing, the deliverable may be delayed or incorrect, and government filings may be queried or rejected — which is outside our control.

Turnaround times shown on our pages (for example “3–4 working days”) are good-faith estimates that start once we have everything we need from you. Instant documents are delivered immediately after payment.

8. Refunds and cancellations

How refunds work depends on the type of service — instant digital files behave differently from done-for-you filings and subscriptions. Because you can preview most documents free before paying, and because government fees are paid onward to the authorities, some fees are non-refundable once work has begun.

9. No guarantee of outcomes

We help you become funding-ready and compliant, but running a business carries risk and many decisions rest with third parties. We do not promise that you will raise funding, that a bank will sanction a loan, that a government scheme, grant, subsidy or registration will be approved, or that your business will grow or become profitable. Any figures, projections or scheme matches we produce are estimates to help you plan, not assurances.

VyapaarVaani is a private company. We are not a government body and are not affiliated with any ministry or department unless we clearly say so. Always confirm scheme rules and official information on the relevant government portal.

10. Who owns what

10.1 Your content and deliverables

You keep ownership of the business information you enter and of the finished documents you generate and pay for — your pitch deck, report or legal document is yours to use for your business. You are responsible for how you use them.

10.2 Our platform

Everything that makes up VyapaarVaani — the website, software, design system, document templates and engines, our written content, the VyapaarVaani name and logo — belongs to us or our licensors. You may use the platform and your own deliverables, but you may not copy, resell, scrape, reverse-engineer or rebrand our templates, tools or content without our written permission. Free deliverables carry VyapaarVaani branding, and you agree not to remove it.

11. Fair use of the platform

Please use VyapaarVaani honestly and lawfully. You agree not to:

• use the platform for anything illegal, fraudulent or misleading, or to create documents you intend to misuse
• upload false information, malware, or content that infringes someone else’s rights
• try to break, overload or gain unauthorised access to our systems or other users’ data
• scrape, copy or resell our tools, templates or content without permission
• impersonate someone else or misrepresent your authority to act for a business

If you break these rules we may remove content, limit features, or suspend your account, and we will cooperate with lawful requests from the authorities.

12. Third-party links and services

We link to government portals, partner services and other websites for your convenience, and we rely on partners such as payment gateways and our AI provider to run the service. We do not control third-party websites and are not responsible for their content or practices. When you leave our site or use a partner’s service, their terms apply.

13. Availability and “as is” service

We work hard to keep VyapaarVaani running smoothly, but we provide the platform “as is” and cannot promise it will always be available, uninterrupted or error-free. We may add, change or withdraw features, and we may carry out maintenance that briefly affects access.

14. Our liability

To the extent the law allows, VyapaarVaani is not liable for indirect or consequential losses — such as lost profits, lost funding, lost opportunities or business interruption — arising from your use of the platform. Nothing in these Terms limits any liability that cannot be limited under Indian law.

For any single paid service, our total liability to you will not exceed the amount you paid us for that service.

15. Indemnity

If a claim is brought against us because you misused the platform, broke these Terms, gave us false information, or infringed someone’s rights, you agree to cover the reasonable costs and losses we face as a result.

16. Suspension and termination

You can stop using VyapaarVaani at any time. We may suspend or close an account that breaks these Terms, is used unlawfully, or creates a security or fraud risk. If we close your account, you can still ask for a copy of documents you have already paid for, subject to law. Ending your account does not affect rights or obligations that already exist.

17. Privacy

We handle your personal data as described in our Privacy Policy, which explains what we collect, why, and the rights you have under the Digital Personal Data Protection Act, 2023. By using the platform you agree to that policy.

18. Changes to these terms

We may update these Terms as our services grow or the law changes. When we make a significant change, we will update the date at the top and, where appropriate, let you know. Continuing to use VyapaarVaani after an update means you accept the revised Terms.

19. Governing law and jurisdiction

These Terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts at Ahmedabad, Gujarat. We would always prefer to resolve a concern directly first — please raise it with us before taking any other step.

20. Grievance redressal

If you have a complaint about our services, your data or any content on the platform, write to our Grievance Officer at [email protected] with the details and your order number where relevant. We will acknowledge your complaint and work to resolve it within the timelines required by applicable Indian law.
